Setting up Carved-Out Health Benefits Platform as New Co within Four Months

A leading health tech company, carved out from a Fortune-ranked healthcare and retail pharmacy giant, had aggressive timelines to set up as an independent entity.

Acquired by a global investment firm known for its technology portfolio, the client needed to create an independent cloud-based benefits management platform to support administration, reporting, billing and compliance for employees, brokers and exchanges.

The platform should streamline initial enrollments, ongoing administration and renewals, positioning the new company as a reliable partner in the benefits management industry.

Managing a Complex Carve-Out and IT Transition

Setting up independent operations as a new company was challenging given a stringent Transition Services Agreement (TSA). Non-compliance would make the acquiring company liable to heavy penalties, while going live without a solid IT and operational foundation would have impacted business continuity and created fissures in employee and customer experience. The client needed to set up its own cloud, infrastructure and security policies, crucial to operationalize service desk, end-user computing and secure operations.

The new company had just over a quarter to migrate employees and customers to a new domain. It needed guidance on the best-fit application tools and a conducive cloud infrastructure to support its growth and business goals as an independent entity.

To ensure a smooth transition, the new company needed proven organizational change management practices. It turned to Persistent to help with the transition, delegating it as an outsourced arm and managed services partner to maintain business continuity and meet tight deadlines.

Strategic Cloud Setup and Smooth Migration

Persistent’s strategic approach was critical to the success of the carve-out. Utilizing advanced technologies like AWS, Anakage ,Azure, Defender the team managed a smooth migration & setup and enabled smooth carve-out operations.

Persistent transitioned users to a new domain without disruption, and new infrastructure and operations tools were built from scratch. Organizational change management helped employees adapt quickly, and the transition management office coordinated all activities to keep the project on track.

We executed a comprehensive solution through a greenfield setup of infrastructure, cloud, and security tools, supported by an outcome-based delivery model across L1–L3 operations.

We migrated users to M365 suite, integrated SharePoint and deployed best-in-class managed services for IT Service Management (ITSM), Security and End User Computing (EUC). To keep everything running efficiently, we established a Service Management Office that drove Information Technology Infrastructure Library (ITIL) adoption, continuous improvement, and compliance.

We established Security operations to protect sensitive data and ensure compliance as per statutory and healthcare standards.

The above enabled  the client to concentrate on its core business and ensured Business as Usual (BAU).

Met Stringent Timelines and Increased Productivity

The client established a fully independent, state-of-the-art setup across cloud, infrastructure and security within four months, meeting stringent TSA timelines. With streamlined operations and effective change management, the client also experienced a 10% productivity gain.

Early and thorough planning for service desk, end-user computing and security ensure ongoing business operations with minimal disruption.

The successful carve-out enabled the client to operate as an independent “NewCo,” offering innovative benefits management solutions, and establish itself as a leader in the industry.
